Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
In response to the announcement by Luna Innovations Incorporated (the Company) that it filed a voluntary petition for relief under Chapter 11 of the United States Bankruptcy Code, the Nasdaq Stock Market Listing Qualifications Staff (the Staff) issued a delisting determination letter to the Company on July 17, 2009. The letter indicated that the Staff has determined to delist the Companys common stock from the Nasdaq Global Market as a result of the Companys decision to file such a petition for relief under Chapter 11, pursuant to the discretionary authority provided under Marketplace Rules 5101, 5110(b) and IM5101-1.
The Staffs letter further advises the Company that trading of the Companys common stock will be suspended at the opening of business on July 28, 2009 unless it requests a hearing with a Nasdaq Listing Qualifications Hearing Panel (the Panel) to appeal the proposed delisting. The Company intends to request a hearing with the Panel to appeal the proposed delisting. The Companys common stock will remain listed on the Nasdaq Global Market pending the outcome of the hearing.

Luna Innovations Receives Staff Determination
Regarding Nasdaq Delisting
ROANOKE, VA (July 17, 2009) Luna Innovations Incorporated (NASDAQ:LUNA), a company focusing on sensing, instrumentation and pharmaceutical nanomedicines, today received a delisting determination letter from the Nasdaq Stock Market Listing Qualifications Staff indicating the Listing Qualifications Staffs decision to delist Lunas common stock from the Nasdaq Global Market pursuant to Nasdaq Marketplace Rules 5101, 5110(b) and IM5101-1. The determination was made following Lunas action to file a voluntary petition for relief under Chapter 11 of the United States Bankruptcy Code earlier today.
The delisting determination letter further advises Luna that trading of Lunas common stock will be suspended at the opening of business on July 28, 2009 unless it requests a hearing before a Nasdaq Listing Qualifications Hearing Panel to appeal the proposed delisting.
